Nature of Merchandise:
Premier Wholesaler sells wholesale liquidation, salvage, customer returns, overstock, surplus, off-price, used, and distressed merchandise intended strictly for resale, export, or secondary markets. Unless expressly stated otherwise in writing, all merchandise is considered salvage and carries inherent risk, including damage, defects, missing items, mixed conditions, or non-functional goods. Buyer assumes all risk associated with the purchase and resale of this merchandise.
AS IS / WHERE IS - No Warranties:
ALL GOODS ARE SOLD AS IS, WHERE IS, WITH ALL FAULTS.
Premier Wholesaler DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. No manifests, percentages, photos, descriptions, or verbal statements constitute warranties or guarantees.
No Returns, Refunds, Credits, or Cancellations:
ALL SALES ARE FINAL. No returns, refunds, credits, cancellations, or exchanges are permitted under any circumstances. Submission of payment confirms Buyer's full acceptance of these terms.
Shipping & Risk of Loss:
Shipping arrangements may be provided as a courtesy only. Freight charges are calculated separately and do not appear automatically at checkout. Shipping quotes may be provided for pallet shipments, truckload deliveries, or international export orders including 20-foot and 40-foot container shipments. All goods ship direct from third-party facilities. Risk of loss transfers to Buyer upon release of the merchandise to the carrier. Buyer is responsible for all freight charges, delays, accessorial fees, refused shipments, storage charges, and carrier claims. All shipping claims must be filed directly with the carrier.
Manifests, Counts & Condition:
Any manifests, counts, grades, or percentages are estimates only and are not guaranteed. Variances, shortages, substitutions, and discrepancies may occur in liquidation and salvage merchandise. Premier Wholesaler assumes no liability for such differences, and Buyer waives all related claims.
Used Merchandise:
Used merchandise is sold only in designated USED categories and may contain wear, defects, mixed grades, or varying conditions. Occasional mix-ups are inherent in liquidation and recycling supply chains. Buyer assumes all risks associated with used goods.
Unclaimed or Refused Shipments:
Any refused, unclaimed, or undelivered shipments may be discarded, liquidated, or resold at Premier Wholesaler's discretion. No refunds or credits will be issued. Buyer assumes all risks associated with misdelivery, refusal, or failure to accept delivery.
Limitation of Liability:
IN NO EVENT SHALL PREMIER WHOLESALER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, SHIPPING COSTS, OR RESALE LOSSES. Any liability shall not exceed the amount paid for the goods.
Indemnification:
Buyer agrees to indemnify and hold harmless Premier Wholesaler from any claims, losses, damages, or expenses arising from Buyer's purchase, possession, transportation, resale, or distribution of the merchandise.
Governing Law & Venue:
All transactions are governed by the laws of the State of Florida. Any legal action or dispute shall be brought exclusively in the appropriate courts located within the State of Florida.
Entire Agreement:
These terms constitute the entire agreement between Premier Wholesaler and Buyer. If any provision is determined to be unenforceable, the remaining provisions shall remain in full force and effect.
By submitting payment, Buyer acknowledges and agrees to all terms above.
